1. OBJECT

These general terms and conditions of sale apply without restriction or reservation to all online sales offered by Wooper on the website www.wooper.ch (hereinafter: "the Site").
The Site is an e-commerce platform that allows internet users (hereinafter: "the Buyers") to purchase personalized and customizable wooden jewelry offered for sale on the Site (hereinafter: "the Products").

These terms and conditions govern the online sale and delivery of Products, as well as the rights and obligations of the parties involved.
They are accessible at any time via a direct link at the bottom of the Site and at https://wooper.ch/conditions-generales/

The applicable version of the general terms and conditions is the one available online on the Site on the date of the Buyer's order.

These general terms and conditions of sale prevail over any other general or specific terms and conditions not expressly agreed to by Wooper.

They may be supplemented, where appropriate, by specific terms of use for certain services offered on the Site, which supplement these general terms and conditions and, in the event of any conflict, prevail over them.

3. LEGAL CAPACITY AND ACCEPTANCE OF GENERAL TERMS AND CONDITIONS

3.1. Legal Capacity
The Site is accessible:
To any natural person with full legal capacity to enter into these terms and conditions. A natural person who does not have full legal capacity may only access the Site with the consent of their legal representative.
To any legal entity acting through a natural person with the legal capacity to contract in the name and on behalf of the legal entity.

3.2. Acceptance of the General Terms and Conditions
The Buyer's acceptance of these general terms and conditions is indicated by checking a box on the order form. This acceptance must be complete and unconditional. Any conditional acceptance will be considered null and void. Buyers who do not agree to be bound by these general terms and conditions must not place an order on the Website.

4. PRODUCT CHARACTERISTICS

4.1. Before placing any online order and in accordance with the provisions of Article L111-1 of the Consumer Code, the Buyer can consult the characteristics of each Product he/she wishes to order on the Site.

4.2. Products are offered for sale online subject to availability, or subject to the possibility of ordering them where applicable.
If a Product becomes unavailable after an order has been placed, Wooper will inform the Buyer by email: their order will be automatically cancelled and no charge will be made.

4.3. The photographs and descriptions of the Products offered for sale online are as accurate as possible. Wooper is only bound by them with respect to what is specifically stated. However, the Buyer is informed and accepts that certain characteristics of the Products, and in particular their color, weight, and dimensions, may not exactly correspond to the photographs presented on the Site, given the very nature of the processes used, which are inherent to artisanal manufacturing.

These variations do not alter the quality of the Products offered for sale and confirm their unique character.

4.4. Wooper undertakes to reproduce the Buyer's desired personalizations exactly as they are on the jewelry and to make no corrections, even spelling errors. It is the Buyer's responsibility to verify the requested text at the time of placing the order.

5. ORDER

5.1. Placing an Order
To place an order, the Buyer must select the desired Product and add it to their shopping cart.
They can access their shopping cart summary at any time before the order is finalized and can correct any errors in the entered information.
The order is considered received by Wooper when Wooper has access to it.
As part of the ordering process, the Buyer is asked to provide their contact information for delivery and billing purposes. They must complete all fields marked as mandatory in the form provided for this purpose. Orders that do not include all the required information cannot be validated.
The Buyer guarantees that all information provided in the order form is accurate, up-to-date, and truthful, and is not misleading in any way.
They are informed and agree that this information serves as proof of their identity and is binding upon validation.

5.2. Order Confirmation
Upon completion of their order, the Buyer receives an email confirming it, which:
summarizes the order details,
includes the general terms and conditions in effect on the date of the order,
and includes the corresponding invoice.
The Buyer must ensure that the contact information provided during the ordering process is correct and allows them to receive the order confirmation email.

If the Buyer does not receive the order confirmation, they must contact Wooper using the contact details provided in Article 2.
Wooper recommends that the Buyer retain the information contained in the order confirmation.
The order confirmation is deemed received by the Buyer when they can access it.

6. PRICE AND PAYMENT TERMS

6.1. Prices
The selling prices of the Products are displayed on the Website.
They are indicated in Swiss francs, inclusive of all taxes, at the time of ordering.
Wooper reserves the right, at its sole discretion and according to terms it alone determines, to offer promotional offers or price reductions.

Prices do not include any applicable delivery charges, which will be billed in addition to the product price. The applicable delivery charges will be displayed before the Buyer confirms the order.

In the event of a delivery failure due to an incorrect or incomplete address provided by the Buyer, additional charges may be applied, as indicated in article 7.2.
The applicable price is that displayed on the Site at the time the Buyer's order is registered.

Please note: Outside the European Union and in French overseas departments and territories, customs duties or local taxes may be payable and may be charged to the Buyer upon receipt of the package, in addition to the price paid to Wooper. Wooper cannot determine the exact amount of these duties and taxes in advance and therefore cannot inform the Buyer of them prior to placing their order. These duties and taxes remain the responsibility of the Buyer, who is solely responsible for the proper completion of any related declarations and/or formalities.

6.2. Payment Terms
The full price of the Products is due upon ordering.
Payment can be made online by credit card, through the secure online payment service indicated on the Site, or by any other means offered on the Site at the time of ordering.
The Buyer warrants to Wooper that they have the necessary authorization to use the chosen payment method.

Wooper reserves the right to suspend or cancel any order and/or delivery in the event of non-payment of any sum due by the Buyer, in the event of a payment incident, or in the event of fraud or attempted fraud related to the use of the Site.

Penalties of an amount equal to 1.5 times (one and a half times) the Swiss legal interest rate will be automatically applied to unpaid amounts from the first presentation of a formal notice by registered letter AR.

6.3. Invoicing
Purchase invoices will be sent to the Buyer by any appropriate means.

6.4. Retention of title
Wooper retains full and complete ownership of the Products sold until full payment of the price, including delivery costs.

7. DELIVERY

7.1. Delivery Territory
Buyers are expressly informed that the Site only offers delivery of Products to the following countries:
Switzerland,
France
, Belgium
, Italy
, Germany,
Canada

7.2. Delivery methods
The delivery of Products ordered on the Site is made to the address indicated when the Buyer places the order as "delivery address" (which may be different from the billing address), which can only be located in one of the countries referred to in Article 7.1.

In the event of a failed delivery due to an incorrect or incomplete address provided by the Buyer, the Buyer will be informed and expressly agrees that additional charges may apply.
Before confirming their order, the Buyer will be informed of the available delivery methods for the ordered Product, as well as the delivery times and costs associated with each method.

The Buyer must select the desired delivery method and provide all the information necessary for the effective delivery of the Product according to that method.

Order pickups, when offered, are free and scheduled according to Wooper's availability, who will determine the location and time. If the Buyer cannot attend the pickup appointment offered by Wooper for any reason, they will be charged the applicable delivery fees. The order will only be shipped after these fees have been received.

7.3. Delivery times
The Site mentions, for each Product offered for sale, indicative delivery times depending on the territories and delivery methods.

If delivery is not made within the above period, the Buyer may cancel the order, by registered letter with acknowledgment of receipt or by a written notice on another durable medium, if, after having ordered Wooper, according to the same terms, to make the delivery within a reasonable additional period, it has not complied within that period.

The contract is considered terminated upon receipt by Wooper of the letter or written notice informing him of this termination, unless it has been executed in the meantime.

In the event of termination of the contract in accordance with the above terms, the Buyer shall be reimbursed for all sums paid, including delivery costs, no later than 14 (fourteen) days following the date on which the contract was terminated.

Wooper reserves the right, in any event, to contact the Buyer to offer alternative solutions for refunding the price of the Products and delivery costs. The Buyer must explicitly express their acceptance of the chosen alternative refund method in writing.

7.4. Damages.
The Buyer assumes all risks once the order has left Wooper's premises. The Buyer is required to verify the conformity of the delivered goods at the time of delivery and before signing the carrier's delivery note.

Any claim relating to damage incurred during transport must be submitted to the carrier within three (3) days of delivery. A copy of this claim must be sent to Wooper.

8. RIGHT OF WITHDRAWAL

We accept returns and exchanges.
Contact us within 14 days of delivery.
We do not accept cancellations, but please contact us if you have any problems with your order.
The following items cannot be returned or exchanged:
Due to the nature of these items, unless they arrive damaged or defective, we cannot accept returns for:
Custom or personalized orders;
Sale items

9. LEGAL GUARANTEES

The Buyer benefits from the legal guarantees of non-conformity as well as for hidden defects in the thing sold, including defects of conformity resulting from the packaging of the Products ordered on the Site.

If the Buyer finds that the Product delivered to him has a defect, a lack of conformity or is damaged, he must inform Wooper at the contact details mentioned in article 2 herein, indicating the nature of the defect, non-conformity or damage found and sending him any useful evidence, in particular in the form of photograph(s).

Wooper will arrange the return with its chosen carrier and will inform the Buyer of the details by any appropriate means. Wooper will bear the costs of this return.

Products must be returned to Wooper in their original packaging. They must be accompanied by a copy of the corresponding purchase invoice.
Returns that do not comply with the above conditions will not be accepted.

Wooper will carry out the necessary checks and offer the Buyer a replacement Product where possible. If a replacement is not possible, Wooper will reimburse the Buyer the full price paid for the Product, as well as the corresponding delivery costs, by any appropriate means, as soon as possible and no later than 14 (fourteen) days from the date on which Wooper informed the Buyer that a replacement was not possible.

It is important to remember that, when acting under the legal guarantee of conformity, any consumer:
has two (2) years from the date of delivery of the goods to take action;
may choose between repair or replacement of the goods, subject to the cost conditions stipulated in Article L217-9 of the French Consumer Code;
and is not required to provide proof of the existence of the lack of conformity of the goods during the twenty-four months following delivery.
It is also important to remember that the legal guarantee of conformity applies independently of any commercial guarantee that may be granted.

Furthermore, any consumer may choose to invoke the warranty against hidden defects in the item sold, as defined in Article 1641 of the Civil Code. In this case, they may choose between rescinding the sale or obtaining a reduction in the sale price, in accordance with Article 1644 of the Civil Code.

10. BUYER OBLIGATIONS

10.1. Buyers are solely responsible for their use of the Products. It is their responsibility to verify the suitability of the Products for their specific needs prior to purchasing said Products.

10.2. It is also the responsibility of the Buyers to take all appropriate measures to protect their own data and/or software stored on their computer equipment against any attack.

10.3. Buyers are solely responsible for the content of the messages they choose to post on the Products (hereinafter referred to as "the Content").
They warrant to Wooper that they have all the necessary rights and authorizations to publish this Content.

The Buyer is solely responsible if they ask Wooper to include on the ordered Products a sign protected by copyright or an intellectual property title for which they have no rights or authorization.

In this case, the Buyer undertakes to use it exclusively in the private sphere, and not to distribute photographs or videos of said Product to the public, in particular through social networks, and guarantees Wooper in this respect.

In any event, Wooper cannot be held liable in this respect.

10.4. Buyers undertake that said Content will be lawful, will not infringe public order, morality or the rights of third parties, will not violate any legislative or regulatory provision and more generally, will not be likely to give rise to the civil or criminal liability of Wooper.

Buyers are prohibited from including on the Products, in particular and without this list being exhaustive:
pornographic, obscene, indecent, shocking or unsuitable content for a family audience, defamatory, abusive, violent, racist, xenophobic or revisionist
content, counterfeit content,
content that infringes on the image of a third party,
false, misleading content or content proposing or promoting illegal, fraudulent or deceptive activities,
and more generally any content likely to infringe the rights of third parties or be detrimental to third parties, in any way and in any form whatsoever.

11. WOOPER'S LIABILITY

11.1. Wooper undertakes to regularly perform checks to verify the operation and accessibility of the Site. As such, Wooper reserves the right to temporarily interrupt access to the Site for maintenance purposes. Similarly, Wooper cannot be held liable for any temporary difficulties or inability to access the Site due to circumstances beyond its control, force majeure, or disruptions to telecommunications networks.

11.2. Wooper provides the Buyer with no guarantee as to the suitability of the Products to its needs, expectations or constraints.

11.3. Wooper shall not be held liable for the non-performance or delay in the performance of sales contracts due to circumstances beyond its control or force majeure, it being expressly stated that force majeure shall include, in addition to those usually recognized by the case law of the Swiss courts: exceptional weather conditions, natural disasters, fires and floods, lightning, attacks, cases of disruption or blockage of telecommunications networks, means of transport or postal services including due to strikes, damage caused by viruses for which existing security measures on the market do not allow eradication, as well as any legal or regulatory or public order obligation imposed by the competent authorities which would have the effect of substantially modifying these general terms and conditions.

11.4. In any event, Wooper's liability under this agreement is expressly limited to proven direct damages suffered by the Buyers.

12. INTELLECTUAL PROPERTY

The systems, software, structures, infrastructure, databases, and content of any kind (text, images, visuals, music, logos, trademarks, databases, etc.) used by Wooper on the Site are protected by all applicable intellectual property rights and database producer rights. Any disassembly, decompilation, decryption, extraction, reuse, copying, and more generally, any reproduction, representation, distribution, or use of any of these elements, in whole or in part, without Wooper's authorization is strictly prohibited and may be subject to legal action.

13. PERSONAL DATA

Wooper practices a personal data protection policy, the characteristics of which are explained in the Privacy Policy, which the Buyer is expressly invited to read.

14. ADVERTISEMENT

Wooper reserves the right to insert on any page of the Site and in any communication to Buyers any advertising or promotional messages in a form and under conditions that Wooper alone will judge.

15. LINKS AND THIRD-PARTY SITES

Wooper cannot under any circumstances be held responsible for the technical availability of websites or mobile applications operated by third parties (including its potential partners) which the Buyer may access through the Site.

Wooper accepts no responsibility for the content, advertisements, products and/or services available on such third-party sites and mobile applications, which are governed by their own terms of use.

Wooper is also not responsible for transactions between the Buyer and any advertiser, professional or merchant (including its potential partners) to whom the Buyer may be directed through the Site and cannot under any circumstances be a party to any disputes whatsoever with these third parties concerning in particular the delivery of products and/or services, guarantees, declarations and any other obligations to which these third parties are bound.

16. PROHIBITED BEHAVIORS

16.1. The following are strictly prohibited: (i) any behavior that may interrupt, suspend, slow down or prevent the proper functioning of the Site, (ii) any intrusions or attempted intrusions into Wooper's systems, (iii) any misuse of the Site's system resources, (iv) any actions that may impose a disproportionate load on the Site's infrastructure, (v) any breaches of security and authentication measures, (vi) any acts that may infringe upon the financial, commercial or moral rights and interests of Wooper or the users of its Site, (vii) any practice that misuses the Site for purposes other than those for which it was designed and finally more generally (viii) any breach of these terms and conditions or of applicable laws and regulations.

16.2. It is also strictly forbidden to monetize, sell or grant access to all or part of the Site, as well as to the information it contains

16.3. In the event of a breach of any of the provisions of this article or more generally, of any violations of laws and regulations, Wooper reserves the right to take all appropriate measures and to initiate any legal action.

17. MODIFICATIONS

Wooper reserves the right to modify these terms and conditions of sale at any time. In this case, the applicable terms and conditions will be those in effect on the date of the Buyer's order.

18. LANGUAGE

In the event of a translation of these general terms and conditions into one or more languages, the language of interpretation shall be the French language in the event of contradiction or dispute over the meaning of a term or provision.

19. APPLICABLE LAW AND JURISDICTION

Any user or customer of this Site hereby agrees to submit to the exclusive jurisdiction of the Swiss courts in the event of any dispute arising from these Terms or the use of the Site. In such cases, Swiss law shall apply.

20. COPYRIGHT

Wooper respects the copyrights of others and requires users and customers of the Site to respect its own. As a user or customer, you should be aware that everything you see or read on the Site is owned by, or constitutes proprietary information or know-how belonging to, Wooper. By using the Site, you confirm that you understand and accept that the services and any software used in connection with our services contain confidential or proprietary information that is protected by various intellectual property laws. Any material downloaded from the Site must be for private use only and does not entail the transfer of any right or title of any kind.

Personalized bracelets may be photographed, and these images may be shared by Wooper at any time, whether on websites, social media, in physical stores, or at events, in the form of images, videos, photo books, and any other media.
If a customer does not wish to have an image of their personalized bracelet shared on social media, they must submit a written request to Wooper at the time of ordering, by email to contact@wooper.ch, and receive confirmation from Wooper.
Wooper reserves the right to photograph and retain any image of these personalized bracelets for its own photo book and websites.
Personalized designs and creations are the sole property of Wooper and may be reproduced in part or in full by Wooper.
